The mandate

Answer the questions that decide whether the project advances.

The mandate is clear: define scale and continuity, prove recovery, control impurities, establish a product route and build the economics.

Resource definition and representative metallurgy come first. Each capital decision follows the evidence.

01Define

Build the geological model and test whether the drill record can support a formal mineral resource.

02Recover

Determine element-by-element recovery, variability and impurity behaviour across representative material.

03Connect

Define a potential product, separation interface and customer qualification path with the right partners.

04Decide

Commit further capital only when the evidence, permits, economics, financing and governance support it.

Cristiano Veloso

Founder & Chief Executive Officer

Cristiano Veloso founded the business that became Verde in 2005 and led it for more than two decades. Over that period, the company moved from mineral exploration and permitting through financing, construction, commissioning and commercial production. In 2026, he became Founder & Chief Executive Officer of Magnes to lead the next stage of Minas Americas.

The operating record is tangible: 2 mines brought into production; 3 plants built—two mineral-fertilizer plants and one bioproduction facility; reported installed capacity of up to 3.0 Mtpa; C$80.3M in record FY2022 revenue; and C$17.8M in record FY2022 net profit. Cristiano led the technology development reflected in a portfolio of 5 granted + 3 pending Brazilian patents and applications held within the prior company.

Under his leadership, the prior platform accessed C$151M+ of gross capital while maintaining approximately 3.9% annualised basic share-count growth from the 2007 post-IPO base through June 2026. The journey crossed 6 major stress tests—from the Global Financial Crisis to the ongoing Great Brazilian Agricultural Crisis. That capital discipline and full-cycle judgement now guide Magnes.

Governance priorities

Govern the decisions—not the narrative.

The Board brings technical evidence, specialist review and clear accountability to each capital and disclosure decision.

01

Technical assurance

Qualified Persons and specialist reviewers remain accountable for work within their competence and for the scope of each technical disclosure.

02

Stage-gated capital

Resource work, representative metallurgy, permitting, studies and financing evidence should support later commitments—not follow them.

03

Responsible development

Land, water, residues, radiological characterisation, closure and stakeholder considerations enter the decision process while options remain open.

04

Clear, dated disclosure

Company announcements lead. Website summaries preserve the dates, definitions, limitations and superseded information.
